1. Overview of Services

Summit AI Solutions provides website design, hosting, and maintenance; digital marketing and local SEO services, including Google Business Profile optimization; and AI-powered lead generation and outreach services. Specific scope, deliverables, pricing, and timelines for any engagement will be set out in a separate proposal, quote, or agreement between Summit AI Solutions and the client. In the event of a conflict between these Terms and a signed client agreement, the signed agreement will control.

2. Eligibility

By using the Site or Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on your own behalf or on behalf of the business you represent.

3. Client Responsibilities

When engaging our Services, you agree to:

• Provide accurate, complete, and timely information, content, and access needed to perform the Services (e.g. domain, hosting, or Google Business Profile access);
• Ensure you have the necessary rights and permissions to any content, logos, images, or materials you provide to us for use on your website or in your marketing;
• Review and approve deliverables in a timely manner; and
• Make payments in accordance with the applicable proposal or invoice.

4. Fees and Payment

Fees for the Services, including one-time build fees and recurring monthly hosting, marketing, or lead generation fees, will be set out in your proposal or invoice. Unless otherwise agreed in writing, fees are due as invoiced, and late payments may result in suspension of Services, including hosting or ongoing marketing activity, until outstanding balances are resolved. All fees are non-refundable except as expressly stated in your agreement or required by law.

5. Intellectual Property

Unless otherwise agreed in writing, upon full payment for a completed website or deliverable, the client will own the final approved website design and content created specifically for them, excluding any third-party assets, stock materials, licensed software, or Summit AI Solutions proprietary tools, templates, code libraries, and processes, which remain the property of Summit AI Solutions or its licensors.

All content on the Site itself — including text, graphics, logos, and software — is owned by or licensed to Summit AI Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from the Site without our prior written consent.

6. AI-Powered Lead Generation

Our AI-powered lead generation services use automated tools to identify prospects, conduct outreach, and schedule meetings on behalf of clients. While we strive for accuracy and compliance with applicable outreach and communications laws, clients are responsible for ensuring that any messaging, targeting criteria, or use of the resulting leads complies with applicable laws in their industry and jurisdiction. We do not guarantee any specific number of leads, meetings, or business outcomes.

7. Third-Party Services

Our Services may rely on or integrate with third-party platforms (e.g. hosting providers, Google Business Profile, CRM tools, or analytics platforms). We are not responsible for the availability, performance, or policies of these third-party services, which are governed by their own terms.

8. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY MARKETING, SEO, OR LEAD GENERATION SERVICES WILL RESULT IN ANY PARTICULAR LEVEL OF TRAFFIC, RANKINGS, LEADS, OR REVENUE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUMMIT AI SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SUMMIT AI SOLUTIONS IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Summit AI Solutions, its owner, and any affiliates from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party, including any content or materials you provide to us.

11. Termination

Either party may terminate an active engagement in accordance with the terms of the applicable proposal or agreement. We reserve the right to suspend or terminate access to the Site or Services at our discretion if you violate these Terms, fail to make required payments, or engage in conduct that we determine, in good faith, to be harmful to us or other users.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Summit AI Solutions operates, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.

13. Changes to These Terms

We may revise these Terms from time to time. The updated version will be indicated by a revised "Last updated" date, and continued use of the Site or Services after changes become effective constitutes acceptance of the revised Terms.
